Technical Due Diligence for PropTech & Geospatial Acquisitions

Protect your investment against hidden technical risks

Are you considering buying or investing in a PropTech, construction tech, or geospatial software company?

Do you want to know if the quality of the technology matches the quality of the financials?

We offer thorough technical assessment services specifically for PropTech and geospatial software acquisitions. Unlike generic tech due diligence, we evaluate both the code quality AND whether the product actually solves the property domain problems it claims to address.

Why PropTech due diligence is different

PropTech and geospatial products have unique technical risks that generic due diligence often misses:

  • Are spatial data pipelines designed for scale, or will they collapse under real-world property portfolios?
  • Does the mapping architecture support the claimed functionality, or are performance issues inevitable?
  • Are geospatial calculations accurate and compliant, or are there hidden liability risks?
  • Is the location data licensing appropriate for the business model?
  • Do valuation algorithms, risk models, or planning assessments actually work as advertised?

We assess PropTech platforms and geospatial applications in depth, with expertise spanning property valuation systems, planning software, spatial analytics, asset management platforms, and location-based B2B tools. We also evaluate adjacent sectors including construction tech, facilities management, and infrastructure platforms.

Our four-step process

  • Initial consultation: We need to understand your investment objectives and define the goals and scope of the assessment. You may want us to focus on just one product, or in some cases you may need a more or less thorough assessment depending on deal size and risk tolerance.
  • Desktop review: After completing non-disclosure agreements and any other compliance and data privacy requirements, we undertake a desktop study of technical documentation and review source code repositories. Perfection never exists inside software projects, but we flag up any concerns which pose a material risk to the long-term value of the company. These are typically issues related to legacy architecture, code quality, technical debt, maintainability, geospatial data handling, and sometimes security, all of which can have long-term impacts on cost of ownership.
  • Team interviews: With the support of in-house coaching expertise, we conduct a small number of structured interviews with team members at all levels - for example the CEO, a software development manager, a scrum master/squad leader and an engineer. This helps us understand the software development methodology, how changes are managed, how QA and deployment operate, team dynamics, and domain knowledge depth. These interviews can be a source of anxiety for software teams, so it's important to stress that we're only looking for significant issues which affect the long-term value of the company, not minor problems which exist in every company.
  • Reporting: We'll summarize the results of the process in a board-ready report written in plain English. This includes a summary of significant risks using a four-level traffic light system: red (critical, requires action), amber (some concern), green (low risk) and dark green (very low risk). For PropTech deals, we specifically assess domain expertise, geospatial technical competence, and whether the product actually delivers on its claimed business value.
